| Welcome! By using BusinessParc
services ("BusinessParc Services"), you agree to be bound by the
following terms and conditions (the "Terms of Service") which
will hereafter be referred to as “TOS”. |
| Content Linked to by BusinessParc &
Family Filtering |
The sites displayed as search results or linked
to by BusinessParc Services are developed by people over whom BusinessParc
exercises no control. The search results that appear from BusinessParc indices
are indexed by Businessparc automated machinery and computers. We have filters
to exclude adult material that you may think is not suitable for people
under 18 years old. These filters cover BusinessParc Search.
While we make diligent efforts to exclude adult content with use of the
filter, we may not be able to exclude all of it. In addition, people may
disagree over what content should be excluded from filtering. If you see
some content you think is adult content, please contact us.
If you want to make commercial use of the Businessparc Services, you must
enter into an agreement with Businessparc to do so in advance. Please contact
us for more information. |

| Your Registration Obligations and Supervising
Children |
| In consideration of your use of the Service,
you agree to: |

(a) |
Provide true, accurate, current, and complete information
about yourself as prompted by the Service's registration form (such
information being the "Registration Data") |

(b) |
Maintain and promptly update the Registration Data to keep it true,
accurate, current, and complete. If you provide any information that
is untrue, inaccurate, not current, or incomplete, or BusinessParc
has reasonable grounds to suspect that such information is untrue,
inaccurate, not current, or incomplete, BusinessParc has the right
to suspend or terminate your account and refuse any and all current
or future use of the Service (or any portion thereof).
BusinessParc is concerned about the safety and privacy of all its
users, particularly children. By allowing your child access to the
Service, they will be able to access all of the Services including
email and message boards, (among others). Please remember that the
Service is designed to appeal to a broad audience. Accordingly, as
the legal guardian, it is your responsibility to determine whether
any of the Services and/or Content is appropriate for your child. |

| Posting Material on Our Sites |
Certain Sites may allow users to post or upload
information, data, text, photographs, graphics, messages, and/or other content
("Postings"). You acknowledge and agree that Postings and any
and all liability arising from Postings are the sole responsibility of the
user who posted the content ("Poster"), and not BusinessParc.
BusinessParc does not control the Postings and does not guarantee the accuracy,
integrity, or quality of any Postings.
Although we make every reasonable effort to monitor content, you understand
that by using the BusinessParc Services, you may be exposed to Postings
that are offensive, indecent, or objectionable. Under no circumstances will
BusinessParc be liable in any way for any Postings, including, but not limited
to, for any errors, omissions, or misrepresentations in any Postings, or
for any loss or damage of any kind incurred as a result of the use of, or
arising from, any Postings.
If you do choose to post content on one of our Sites, please do not do so
unless you understand that your Postings will be available publicly. You
should not assume that you are anonymous online and cannot be identified
by your Postings. You agree that all of your Postings will comply with the
requirements of this Agreement. |

| You agree not to use our Sites to: |

Post any Posting that is unlawful, harmful, threatening, abusive,
harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive
of another's privacy, hateful, or racially, ethnically, or otherwise
objectionable; |

(b) |
Harm or threaten to harm users in any way; |

(c) |
"Stalk" or otherwise harass any other person or entity; |
| |
(d) |
Impersonate any person or entity (including a BusinessParc agent),
or falsely state or otherwise misrepresent your affiliation with a
person or entity; |

(e) |
Post any unsolicited or unauthorized advertising, promotional materials,
junk mail, spam, chain letters, pyramid schemes, or any other form
of solicitation except in areas that are expressly designated by BusinessParc
for such purpose; |

(f) |
Disseminate or transmit any Content that infringes or violates any
party's copyright, trademark, trade secret, patent or other proprietary
right, including, but not limited to, using third party copyrighted
materials, without appropriate permission, using third party trademarks
without appropriate permission or attribution, or using or distributing
third party information (whether or not protected as a trade secret)
in violation of a duty of confidentiality; |

(g) |
Disseminate or transmit any worms, viruses or other harmful, disruptive
or destructive files, code or programs; |
| |
(h) |
Violate any law (whether local, state, national, or international),
whether or not intentionally; |
| |
(i) |
Forge headers or otherwise manipulate identifiers in order to disguise
the origin of any Posting; |
| |
(j) |
Post any content that you do not have a right to under any law or
under contractual or fiduciary relationship (which includes inside
information, proprietary or confidential information learned or disclosed
as part of employment relationships or under nondisclosure agreements);

(k) |
Interfere with or disrupt the BusinessParc Services, our Sites,
or servers or networks connected to our Sites, or disobey any requirements,
procedures, policies, or regulations of networks connected to the
Sites; |

(l) |
Collect or store personal data about other users; |

(m) |
Engage in any activities that would violate the personal privacy
rights of others, including but not limited to, collecting and distributing
information about Internet users without their permission, except
as permitted by applicable law; or |

(n) |
Post any material that contains software viruses or any other computer
code, files, or programs designed to interrupt, destroy, or limit
the functionality of any computer software or hardware or telecommunications
equipment. |

| Passwords and Security |
| Access to certain BusinessParc Services requires
you to choose a user name (or nickname) and password. If you do so, you
are responsible for maintaining the confidentiality of your password and
account and for logging out of your account at the end of each session.
In selecting a user name, you agree that you will not, |

Select or use a screen name of another person with the intent to
impersonate that person |
| |
(b) |
Use a name subject to the rights of any person without their authorization |
| |
(c) |
Use a screen name that is offensive to people of ordinary sensitivities,
illegal, or infringing. |

| You are fully responsible for all activities that occur
under your password or account. You agree, |

To notify BusinessParc immediately of any unauthorized use of your
password or account or any other breach of security |
| |
(b) |
To ensure that you exit from your account at the end of each session.
Businessparc cannot and will not be liable for any loss or damage
arising from your failure to comply with this section. |

A central part of the BusinessParc Services
includes links to other World Wide Web sites or resources. Because BusinessParc
has no control over such sites and resources, you acknowledge and agree
that BusinessParc is not responsible for the availability of such external
sites or resources, and does not endorse and is not responsible or liable
for any content, advertising, products, or other materials on or available
from such sites or resources. You further acknowledge and agree that BusinessParc
shall not be responsible or liable, directly or indirectly, for any damage
or loss caused by or in connection with use of or reliance on any such content,
goods, or services available on or through any such site or resource. Finally,
you acknowledge that such external sites usually have their own terms and
conditions, including privacy policies, over which BusinessParc has no control
and which will govern your rights and obligations with respect to the use
of those Web sites. Your Contact with Advertisers or Third Party Vendors
Your dealings with advertisers and third party vendors found on or through
the BusinessParc Services, including your participation in promotions,
the purchase of goods, and any terms, conditions, warranties or representations
associated with such activities, are solely between you and the third
party. BusinessParc does not make any representations or warranties with
respect to any goods or web sites that may be obtained from such third
parties, and you agree that BusinessParc will have no liability for any
loss or damage of any kind incurred as a result of any activities you
undertake in connection with the use of or reliance on any content, goods,
services, information or other materials available, or through such third
parties, on our Sites. You acknowledge that such external sites usually
have their own terms and conditions, including privacy policies, over
which BusinessParc has no control and which will govern your rights and
obligations with respect to the use of those Web sites.

| Special Admonitions for International
Use |
| Recognising the global nature of the Internet,
you agree to comply with all local laws and rules regarding online conduct
and acceptable Content. Specifically, you agree to comply with all applicable
laws regarding the transmission of technical data exported from the United
Kingdom, and the country in which you reside (if different from the aforementioned).

| Changes in Terms and Conditions |
| We may modify or terminate our services from
time to time, for any reason, and without notice, including the right to
terminate with or without notice, without liability to you, any other user,
or any third party. We reserve the right to modify these Terms of Service
from time to time without notice. Please review these Terms of Service from
time to time so that you will be apprised of any changes. |

| Limitation of Liability |
Under no circumstance shall BusinessParc be
liable to any user on account of that user’s misuse of or reliance
on the BusinessParc services, or from the interruption, suspension or termination
of BusinessParc services (including damages incurred by third parties).
This limitation shall also apply, without limitation, to the costs of procurement
of substitute goods or services, lost profits, or lost data.
Without limiting the foregoing, under no circumstances shall Businessparc
or its licensors be held liable for any delay or failure in performance
resulting directly or indirectly from acts of nature, forces, or causes
beyond its reasonable control, including, without limitation, Internet failures,
computer equipment failures, telecommunication equipment failures, other
equipment failures, electrical power failures, strikes, labour disputes,
riots, insurrections, civil disturbances, shortages of labour or materials,
fires, floods, storms, explosions, acts of God, war, governmental actions,
orders of domestic or foreign courts or tribunals, non-performance of third
parties, or loss of or fluctuations in heat, light, or air conditioning. |

| Indemnity |
| You agree to indemnify and hold BusinessParc
and its subsidiaries, affiliates, officers, agents, co-branders and other
partners, and employees, harmless from any claim or demand, including reasonable
attorneys' fees, made by any third party due to or arising out of Content
you submit, post to or transmit through the Service, your use of the Service,
your connection to the Service, your violation of the TOS, or your violation
of any rights of another. |

| Miscellaneous Provisions |
These Terms of Service will be governed by
and construed in accordance with the laws of the United Kingdom, without
giving effect to its conflict of laws provisions or your actual state or
country of residence. If for any reason a court of competent jurisdiction
finds any provision or portion of the Terms of Service to be unenforceable,
the remainder of the Terms of Service will continue in full force and effect.
These Terms of Service constitute the entire agreement between the parties
with respect to the subject matter hereof and supersedes and replaces all
prior or contemporaneous understandings or agreements, written or oral,
regarding such subject matter. Any waiver of any provision of the Terms
of Service will be effective only if in writing and signed by BusinessParc.
Any failure by BusinessParc to exercise or enforce any right or provision
of the TOS shall not constitute a waiver of such right or provision.
The section titles in the TOS are for convenience only and have no legal
or contractual effect. |
